These Terms and Conditions apply when you place an order through www.misupplies.co.uk.
Please read them carefully before submitting an order. They explain who we are, how a contract is formed, how orders are supplied and the rights and responsibilities that apply to purchases made through our website.
Nothing in these Terms and Conditions affects your statutory rights.

References in these Terms and Conditions to “MI Supplies”, “we”, “us” and “our” mean MI Supplies Ltd.
References to “you” and “your” mean the person placing an order with us.
2. Who may place an order
You must be at least 18 years old and legally capable of entering into a contract to place an order through our website.
You are responsible for ensuring that the information you provide when placing an order is complete and accurate.
If you place an order on behalf of a business or other organisation, you confirm that you have authority to bind that organisation.
Certain consumer rights described in these terms apply only when you are buying wholly or mainly for purposes outside your trade, business, craft or profession.
3. Products and product information
We take reasonable care to ensure that product descriptions, specifications, prices and images are accurate.
Product images are provided for illustration. Colours may appear differently depending on lighting, photography, screen settings and manufacturing variations.
Minor variations in colour, finish, packaging or appearance will not necessarily mean that a product is faulty or not as described, provided that the product remains materially consistent with its description.
Product availability is subject to change. Displaying a product on our website does not guarantee that it is in stock or available to order.
Where product dimensions or measurements are provided, reasonable manufacturing tolerances may apply.
4. Placing an order
To place an order, follow the checkout process and provide the information requested.
Before submitting your order, you will have an opportunity to review and correct it.
By selecting the button used to complete your purchase, you are making an offer to buy the products in your basket subject to these Terms and Conditions.
After you place an order, we will normally send you an automatic email acknowledging that we have received it.
An order acknowledgement confirms receipt of your order only. It does not mean that we have accepted your order, and it does not create a legally binding contract.
5. When a contract is formed
A legally binding contract between you and MI Supplies Ltd is formed only when:

we dispatch the relevant product; and
-
we send you an email confirming that it has been dispatched.
Payment authorisation, payment capture, an order number or an automatic order acknowledgement does not by itself amount to acceptance of your order.
Where an order contains several products that are dispatched separately, a separate contract is formed for each product when that product is dispatched and a dispatch confirmation is sent.
Until a contract is formed, we may decline or cancel an order for a reasonable reason, including:

a product being unavailable;
-
an incorrect price or product description;
-
an inability to authorise or verify payment;
-
suspected fraudulent or unauthorised activity;
-
restrictions affecting delivery to your address;
-
a failure to satisfy applicable age or eligibility requirements;

an error in an offer, promotion, discount or website system; or
-
circumstances outside our reasonable control that prevent us from fulfilling the order.
If we decline or cancel an order after taking payment but before dispatch, we will refund the amount paid for the cancelled product and any applicable delivery charge without undue delay.
6. Pricing errors
We take reasonable care to ensure that prices shown on our website are correct. However, technical, administrative or human errors may occasionally occur.
If we identify a pricing error before accepting your order, we may:

contact you and offer you the opportunity to purchase the product at the correct price; or

cancel the affected product and provide a full refund of any amount paid for it.
We will not charge the corrected price without your agreement.
If we cannot contact you using the details supplied with your order, we may treat the affected part of the order as cancelled.
Where a contract has already been formed, we will not normally cancel it solely because of a minor pricing error. However, we may seek to cancel or set aside an order where the price error was obvious and unmistakable and a reasonable person would have recognised that the displayed price could not have been genuine.
Nothing in this section limits any rights or remedies available to either party under applicable law.
7. Prices and VAT
Prices displayed on the website are in the currency selected or shown at checkout.
Unless stated otherwise, UK prices include VAT at the applicable rate where VAT is chargeable.
Some products may be zero-rated or exempt from VAT under applicable law.
The total amount payable, including applicable taxes and delivery charges, will be shown before you submit your order.
Prices, promotions and availability may change at any time before an order is accepted. A price change will not affect a contract that has already been formed, except where permitted by law.
8. Promotions and discount codes
Promotions and discount codes are subject to any specific terms stated with the relevant offer.
Unless stated otherwise:

only one discount code may be used per order;
-
discount codes cannot be exchanged for cash;
-
discount codes cannot be applied retrospectively;
-
minimum spend and product exclusions may apply;
-
promotions are available only during the advertised period; and
-
promotional stock is subject to availability.
We may withdraw or amend an offer before an order is accepted where there is a genuine error, suspected misuse, fraud or another reasonable justification.
We will not withdraw a promotion retrospectively from an order that has already been accepted unless the promotion was obtained fraudulently or used contrary to its clearly stated conditions.
9. Payment
We accept the payment methods displayed at checkout, which may include debit cards, credit cards and PayPal.
Available payment methods may change from time to time.
You confirm that:

you are authorised to use the selected payment method;

the payment information supplied is complete and accurate; and
-
sufficient funds or credit are available.
Payment may be authorised or taken before we dispatch your order. Taking payment before dispatch does not mean that we have accepted the order.
If we cannot obtain payment authorisation, we may decline or cancel the order.
Payment transactions may be processed by third-party payment service providers. We do not normally receive or retain your complete card details.
We are not responsible for fees or exchange-rate charges imposed independently by your bank, card issuer or payment provider.
10. Security checks and suspected fraud
We may conduct reasonable security, identity and fraud-prevention checks before accepting an order.
We may contact you to request information reasonably needed to verify an order.
We may delay, decline or cancel an order where we reasonably suspect that:

payment is unauthorised;
-
an order is fraudulent;
-
account or promotional terms are being abused; or
-
fulfilment may expose us or another person to unlawful or fraudulent activity.
We will process personal information used for fraud prevention in accordance with our Privacy Notice.
11. Delivery
Available delivery methods, estimated delivery times and charges will be displayed at checkout or on the relevant product page.
Delivery estimates are not guaranteed unless we expressly agree a fixed delivery date with you.
Orders are normally processed during our usual working hours.
Where products are in stock, we aim to dispatch them within the timeframe displayed on the product page or at checkout.
If a product is unavailable or materially delayed, we will contact you using the details supplied with your order.
You are responsible for providing a complete and accurate delivery address.
We may use third-party couriers to deliver orders.
Where nobody is available to accept delivery, the courier may:

leave instructions for rearranging delivery;
-
deliver to an agreed safe place;
-
deliver to a neighbour where permitted; or
-
take the parcel to a collection location.
Any safe-place or alternative-delivery instruction you give must be clear and suitable.
12. Delivery delays
If delivery is delayed, we will take reasonable steps to inform you and minimise the delay.
We are not responsible for delays caused by circumstances outside our reasonable control, provided that we take reasonable steps to address the issue.
If there is a risk of substantial delay, you may contact us to end the contract and receive a refund for products you have paid for but not received, where you are legally entitled to do so.
Where delivery by an agreed date was essential and we fail to deliver by that date, you may have the right to cancel under applicable consumer law.
13. When responsibility for goods passes to you
Goods remain at our risk until they come into the physical possession of:
-
you;
-
a person identified by you to take possession of them; or
-
a carrier independently appointed by you who was not offered by us.
Ownership of the goods passes to you once we have received full payment and the goods have been delivered, unless applicable law provides otherwise.
14. International orders, import VAT and customs charges
We may accept orders for delivery outside the United Kingdom where international delivery is offered at checkout.
International orders may be subject to:
-
local VAT or sales tax;
-
import VAT;
-
customs duties;
-
handling charges; and
-
courier or customs-clearance fees.
Whether these charges are collected at checkout or on import will depend on the delivery destination, order value, products ordered and the delivery service used.
Where charges are not collected by us at checkout, you are normally responsible for paying them to the relevant authority or carrier.
You are responsible for complying with local import laws and restrictions.
Delivery may be delayed by customs procedures, which are outside our reasonable control.
Any wording shown at checkout concerning duties and taxes will take priority where it provides more specific information for your destination.
For orders delivered to the European Union, the tax treatment may differ depending on the order value and whether the order qualifies for any applicable import VAT scheme.
15. Embroidered and personalised products
For products requiring embroidery, printing, badging or other personalisation, we may send you a proof for approval.
You are responsible for checking that all details in the proof are correct, including:

wording;
-
spelling;
-
colours;
-
positioning;
-
dimensions; and
-
logo or artwork selection.
Production will normally begin only after we receive your approval and any required payment.
Our target production timeframe will be stated on the product page, quotation, proof or order correspondence. Production times are estimates unless expressly agreed otherwise.
Once you have approved a proof or production has begun, changes may not be possible.
Genuinely personalised, embroidered, printed or made-to-order goods may be excluded from the statutory change-of-mind cancellation right.
This exclusion does not affect your rights where personalised goods are faulty, damaged, not as described or produced differently from the approved specification.
You confirm that you have the right to use any logo, name, image, artwork or other material you provide to us.
You are responsible for claims arising from materials you provide where their use infringes another person’s intellectual-property rights, except to the extent that the infringement results from our own acts or omissions.
16. Your right to cancel an online order
If you are a consumer, you normally have the right to cancel a contract for goods without giving a reason.
The cancellation period normally ends 14 days after the day on which:
-
you receive the goods;
-
a person nominated by you receives the goods; or
-
for an order delivered in separate instalments, you receive the final instalment.
To exercise your right to cancel, you must clearly inform us of your decision before the cancellation period expires.

You do not have to use the model cancellation form at the end of these terms, but you may do so.
Your communication should include sufficient information for us to identify your order.
17. Exceptions to the change-of-mind cancellation right
The statutory change-of-mind cancellation right may not apply to:
-
goods made to your specifications;
-
clearly personalised products;
-
embroidered, printed or badged products made specifically for you;
-
sealed goods that are not suitable for return for health-protection or hygiene reasons where the seal has been broken;
-
goods that deteriorate or expire rapidly;
-
sealed audio, video or software products where the seal has been broken; and
-
other products excluded by applicable law.
An exception to the change-of-mind right does not remove your legal rights where a product is faulty, damaged, unsafe or not as described.
18. Returning goods following statutory cancellation
After informing us that you wish to cancel, you must normally send the goods back within 14 days.

You must take reasonable care of the goods while they are in your possession.
You may inspect and handle products only as you reasonably would in a physical shop to establish their nature, characteristics and functioning.
We may reduce a refund to reflect a reduction in value caused by handling beyond what is reasonably necessary.
Original packaging is preferred because it helps protect the product. However, missing or damaged packaging will not automatically remove a statutory cancellation right.
You should package returned goods securely.
We recommend obtaining proof of postage. You remain responsible for the goods until they are received by us, subject to your statutory rights and the delivery service used.
19. Cost of statutory change-of-mind returns
Unless we state that returns are free, you are responsible for the direct cost of returning goods when you cancel because you have changed your mind, provided that we informed you of this responsibility before the contract was formed.
If a product cannot normally be returned by post, we will provide an estimate of the return cost where required by law.
We are responsible for reasonable return costs where goods are faulty, damaged, not as described or otherwise do not conform to the contract.
Please contact us before returning a faulty or incorrect product so that we can provide appropriate return instructions.
20. Refunds following statutory cancellation
Where you validly cancel an online order, we will refund:
-
the price paid for the cancelled goods; and
-
the cost of the least expensive standard delivery method we offered for the order.
If you selected a more expensive delivery option, we do not have to refund the additional cost above our least expensive standard delivery charge.
We may withhold the refund until:
-
we receive the returned goods; or
-
you provide evidence that you have sent them back,
whichever occurs first.
We will make the refund without undue delay and no later than 14 days after the applicable refund period begins under consumer law.
Refunds will normally be made using the original payment method unless you expressly agree otherwise.
We will not charge a fee for issuing a statutory refund.
21. MI Supplies 365-day returns guarantee
In addition to your statutory rights, we offer a voluntary 365-day returns guarantee on eligible products.
Under this guarantee, an eligible product may be returned within 365 days of receipt for a refund, subject to the conditions below.
To qualify under the voluntary guarantee, the product must:
-
be unused and unworn;
-
be clean and in a resaleable condition;
-
retain its original tags and labels;
-
be returned with its original packaging where reasonably available;
-
contain all components, instructions and accessories; and
-
be accompanied by information allowing us to identify the order.
We may refuse a return under the voluntary guarantee where a product:
-
has been worn, washed, altered or damaged;
-
contains marks, dirt, animal hair, smoke odour or other contamination;
-
is incomplete;
-
is personalised, embroidered, printed or made to order;
-
is a hygiene-sensitive product that has been unsealed; or
-
is otherwise not in a resaleable condition.
Unless we state otherwise, you are responsible for postage costs when using the voluntary 365-day guarantee.
The voluntary guarantee does not limit:
-
your statutory 14-day cancellation right;
-
your rights concerning faulty or misdescribed goods; or
-
any other rights available under applicable law.
22. Exchanges
We do not normally process direct size or product exchanges through our returns department.
To obtain a different size or product, you should place a new order and return the unwanted eligible product for a refund.
The returned product will be assessed under either:
-
your statutory cancellation rights;
-
our 365-day returns guarantee; or
-
your rights relating to faulty goods,
depending on the circumstances.
23. Faulty, damaged or misdescribed goods
We are under a legal duty to supply goods that:
-
are of satisfactory quality;
-
are fit for any purpose made known to us;
-
match their description; and
-
conform to the contract.
If you believe that a product is faulty, damaged, unsafe, incorrect or not as described, contact us as soon as reasonably possible.
Please provide:
-
your order number;
-
a description of the issue; and
-
photographs where reasonably helpful.
We may ask you to return the product for inspection, but this does not affect your statutory rights.
Depending on the circumstances and applicable law, you may be entitled to:
-
reject the goods and receive a refund;
-
a repair;
-
a replacement;
-
a price reduction; or
-
another appropriate remedy.
We will pay reasonable return costs where goods do not conform to the contract.
Damage caused by misuse, normal wear and tear, accidental damage or failure to follow care instructions will not normally constitute a product fault.
24. Refund processing
Once a refund has been approved, we aim to process it within seven working days.
This administrative target does not replace or extend any statutory refund deadline.
After we process a refund, your bank or payment provider may require additional time to credit the funds to your account.
We are not responsible for delays caused solely by your bank or payment provider, although we will provide reasonable assistance where necessary.
25. Missing and lost returns
You should use a suitable return service and retain proof of postage.
If a return appears to have been lost, we may ask you to provide evidence that it was sent.
We are not responsible for a return lost before reaching us where you selected and contracted directly with the return carrier, except where applicable law provides otherwise.
Where we provide or arrange the return service, responsibility will be determined by the terms of that service and applicable law.
26. Return misuse and account activity
We may monitor returns and account activity to prevent fraud, abuse and misuse of our voluntary policies.
Where we reasonably identify fraudulent, abusive or unlawful conduct, we may:

investigate the activity;
-
refuse a claim made solely under our voluntary returns guarantee;
-
restrict future use of a voluntary promotion or returns service;
-
suspend or close an account; or
-
report suspected criminal activity to the appropriate authorities.
We will not use this section to refuse or restrict a valid statutory right, including rights relating to:
-
online cancellation;
-
faulty goods;
-
misdescribed goods; or
-
refunds required by law.
27. Our right to end a contract after acceptance
After a contract has been formed, we may end it only where:
-
you materially breach the contract;
-
payment is reversed, rejected or obtained fraudulently;
-
fulfilment becomes unlawful;
-
we have a legal right to cancel because of an obvious mistake;
-
circumstances outside our reasonable control make performance impossible; or
-
another right to end the contract arises under these terms or applicable law.
Where we end a contract without fault on your part, we will refund amounts paid for goods that will not be supplied.
28. Events outside our reasonable control
We are not responsible for a delay or failure caused by an event outside our reasonable control.
Such events may include:

severe weather;
-
fire or flood;
-
transport disruption;
-
industrial action;
-
widespread telecommunications or systems failures;
-
epidemics or public-health restrictions;
-
civil unrest;
-
acts of government;
-
border or customs disruption; and
-
failures affecting suppliers or delivery networks that we could not reasonably prevent.
We will contact you where reasonably possible and take reasonable steps to minimise the effect of the event.
If the delay is likely to be substantial, you may have the right to cancel the affected contract and receive a refund for goods not supplied.
29. Our responsibility for loss or damage
We are responsible for loss or damage that is a foreseeable result of our breach of these terms or our failure to use reasonable care and skill.
Loss or damage is foreseeable if it was obvious that it would happen or if both parties knew it might happen when the contract was formed.
If you are a consumer, we supply products for private use unless we have expressly agreed otherwise.
We are not responsible for business losses suffered by a consumer, including loss of profit, revenue, contracts, business opportunity, goodwill or business interruption.
If you purchase products wholly or mainly for business purposes, separate business terms or limitations may apply.
Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability for:

death or personal injury caused by negligence;
-
fraud or fraudulent misrepresentation;
-
breach of your statutory rights concerning goods;
-
defective products where liability cannot lawfully be excluded; or
-
any other liability that cannot legally be excluded or limited.
30. Intellectual property
The content of our website, including its text, graphics, logos, photographs, videos, design and software, is owned by us or licensed to us and is protected by intellectual-property law.
You may view and use the website for personal, non-commercial shopping purposes.
You may not, without permission:

reproduce substantial parts of the website;

use website content commercially;

remove ownership notices;
-
scrape or systematically extract website data;
-
copy product photography for commercial use; or
-
use our trade marks in a way that suggests an unauthorised association.
Nothing in this section prevents fair dealing or another use permitted by law.
31. Acceptable use of the website

We do not control third-party websites and are not responsible for their content, availability or privacy practices.
Any purchase made directly from a third party will be governed by your agreement with that third party.

We aim to acknowledge complaints within 7 working days and provide a substantive response within 5 working days, where reasonably possible.
We may revise this contact where staffing responsibilities change.
Nothing in this complaints process prevents you from seeking independent advice or exercising your legal rights.
39. Alternative dispute resolution
If we cannot resolve a consumer complaint directly, we will tell you whether we are required or willing to use an approved alternative dispute-resolution provider.
Where we agree or are required to participate, we will provide the relevant provider’s name and contact details.
You are not prevented from bringing court proceedings where you have a legal right to do so.
40. Changes to these terms
We may update these Terms and Conditions from time to time.
The terms that apply to your order will normally be those made available to you when you submitted it.
A later update will not retrospectively alter an existing contract unless:

the change is required by law;

the change benefits you without placing you at a disadvantage; or

you expressly agree to it.
We recommend saving or printing a copy of the terms applying to your order.
41. Transfer of rights
We may transfer our rights and obligations under a contract to another organisation, provided that this does not reduce your rights or materially disadvantage you.
You may transfer your rights or obligations only with our written agreement, except where the law permits you to do so without our agreement.
42. Third-party rights
A person who is not a party to the contract does not have a right to enforce its terms, except where applicable law expressly provides otherwise.
43. If part of these terms is invalid
If a court or relevant authority finds that part of these terms is unlawful or unenforceable, the remaining provisions will continue to apply.
The affected provision will be treated as modified only to the minimum extent necessary to make it lawful and enforceable, where legally permitted.
44. Delay in enforcing these terms
If we do not immediately enforce a right under these terms, this does not mean that we have waived it.
If we waive a breach on one occasion, that does not mean we will waive a later breach.
45. Governing law and courts
These Terms and Conditions and any contract between you and us are governed by the law of England and Wales.
If you are a consumer living in Scotland or Northern Ireland, you may also benefit from mandatory protections under the law applying where you live.
As a consumer, you may bring proceedings in the courts applicable to the part of the United Kingdom in which you live.
If you are purchasing wholly or mainly for business purposes, the courts of England and Wales will have exclusive jurisdiction unless we agree otherwise in writing.
